Terms of Service

1. Acceptance of Terms

By accessing or using the Roca Guia platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, do not use the Service. We reserve the right to update these Terms at any time. Continued use of the Service after changes constitutes acceptance.

2. Description of Service

Roca Guia is a construction project management platform that enables organizations to schedule resources, track daily progress, manage costs, generate reports, and issue invoices. Access to the Service is granted by invitation or approved application at our discretion.

3. Account Registration and Access

Access to the Service requires authentication via Google Sign-In. You are responsible for maintaining the security of your Google account. Access to create an organization on the platform is granted only to invited users or applicants approved by Roca Guia.

You agree to provide accurate and complete information when registering. You may not share your account credentials or allow unauthorized access to your account.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws
• Attempt to gain unauthorized access to any part of the Service or its infrastructure
• Reverse engineer, decompile, or disassemble any part of the Service
• Upload or transmit malicious code, viruses, or any content that could harm the Service
• Use the Service to store or transmit data that infringes third-party intellectual property rights
• Resell or sublicense access to the Service without written consent
• Interfere with or disrupt the integrity or performance of the Service

5. Your Data

You retain ownership of all data, content, and information you submit to the Service ("Your Data"). By using the Service, you grant us a limited license to store, process, and display Your Data solely as necessary to operate the Service.

You are responsible for the accuracy, quality, and legality of Your Data and for obtaining all necessary rights to submit it. We do not sell Your Data or use it for advertising purposes.

6. Subscription and Payment

The Service is provided on a subscription basis. Pricing plans and features are described on our pricing page. We reserve the right to change pricing with 30 days notice to active subscribers.

All fees are non-refundable except as required by law or as expressly stated in a separate agreement. Failure to pay subscription fees may result in suspension or termination of your account.

7. Intellectual Property

The Service, including its software, design, trademarks, and content (excluding Your Data), is owned by Roca Guia and protected by intellectual property laws. Nothing in these Terms grants you ownership of any part of the Service.

You may not copy, modify, distribute, or create derivative works of the Service without our prior written consent.

8. Availability and Modifications

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice where possible.

We may update or improve the Service at any time, including adding or removing features. We will make reasonable efforts to notify users of significant changes.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Service will be error-free, secure, or that defects will be corrected. You use the Service at your own risk.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROCA GUIA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Roca Guia and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

12. Termination

Either party may terminate the account at any time. We may suspend or terminate your access immediately if you violate these Terms, engage in fraudulent activity, or for non-payment of fees.

Upon termination, your right to access the Service ceases immediately. You may request an export of Your Data within 30 days of termination. After that period, we may delete Your Data in accordance with our Privacy Policy.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Costa Rica, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be submitted to the exclusive jurisdiction of the courts of San José, Costa Rica.
